Fundraising Advisory Mandate for a Private Healthcare Establishment

Fundraising advisory supporting the entry of an institutional investor into a private healthcare establishment

Country:
switzerland
Duration:
7 months
Sector:
Healthcare

Mandate Description

The mandate consisted of a fundraising advisory assignment carried out on behalf of a private healthcare establishment located in French-speaking Switzerland, in the context of an opening of its share capital to an institutional investor.

The objective of the assignment was to support the historical shareholders in structuring and negotiating the entry of a new minority investor, intended to finance the creation of a new medical centre and support the growth of the establishment’s activities.

The transaction was based on an independent prior valuation conducted by a third-party firm, which served as a technical reference during discussions with potential investors.

The establishment had been valued within a range of ten to fifteen million Swiss francs, consistent with benchmarks observed in the Swiss private healthcare market.

Key Issues

The main challenges of the mandate were to define a balanced equity participation structure while preserving operational control of the medical activity.

A key objective was to ensure the attractiveness of the investment opportunity for the incoming institutional investor.

The assignment focused in particular on post-transaction capital structure modelling and the impact of the fundraising on governance arrangements.

It also involved the preparation of transaction documentation, including a teaser, information memorandum, limited partnership documentation and investment agreements.

In addition, the mandate required close coordination with legal and tax advisers in order to secure full compliance of the transaction.

The fundraising formed part of a controlled growth strategy and diversification of the healthcare offering, supported by the development of a new-generation medical platform.

Approach and Results

The advisory team supported the shareholders and management throughout the entire process.

  • This included the identification of potential investors, organisation of preliminary discussions, negotiation of investment terms and final structuring of the transaction.
  • The assignment resulted in the successful entry of an institutional investor based on a valuation range between ten and fifteen million Swiss francs, while preserving the medical governance and identity of the project.

The transaction enabled the financing of the new medical centre, strengthening patient capacity and enhancing the complementarity of healthcare services offered by the establishment.
