Mandate description
Mandate of financial and strategic structuring led to a Swiss player in the information technology sector, offering a SaaS platform dedicated to the management and valuation of intellectual property.
The mission was carried out within the framework of the preparation of a capital fund raising, intended to finance the growth of the company and the development of new software functionalities.
The main objective was to structure the fundraising process in order to ensure consistency between the strategy, the forecast valuation and the financial documentation for investors.
Key issues
The main challenges consisted of:
- formalize a fundraising process adapted to the SaaS profile (growth, recurrence, R&D);
- Define key performance indicators (KPIs) relevant for technology investors;
- prepare strategic and financial documentation (executive summary, teaser, financial business plan, term sheet type, IM, etc.);
- and anticipate the requirements of institutional investors in terms of capital structuring and governance.
The mission took place in a context of strong expansion of the digital intellectual property market, marked by an increase in capital financing needs for technology companies.
Approach and results
The intervention made it possible to:
- structure the entire fundraising process, from the preparation of documentation to the definition of the implementation schedule;
- model funding scenarios according to different levels of valorization and dilution;
- and standardize information media to ensure the consistency of the message to potential investors.
